Terms of Use

We are us, you are you.

“You” are the person or organisation that uses the Keeping software (online, via a browser extension or via an app), a visitor to our website or an organisation that has entered into an agreement with us for the use of Keeping.

“We” are Keeping B.V., located at Hengelosestraat 86, 7514 AK, Enschede, the Netherlands, registered with the Chamber of Commerce under number 67820050.

General

  1. These Terms of Use apply to all users of Keeping, all services, related product(s) and website(s);
  2. Our general_terms_and_conditions Keeping B.V. (v2.0.2) apply to these terms of use;
  3. Also our privacy and processing statement are applicable to these terms of use.
  4. The applicability of any general or specific terms or conditions of users or user organisations is expressly rejected by Keeping;
  5. Failure to comply with these Terms of Use will result in immediate termination of your Keeping account;
  6. You are not allowed to use Keeping for illegal purposes, you must not violate Dutch and European law; and
  7. Questions about these terms of use can be asked at e-mail address: [email protected].

Registration conditions

  1. Each registered user must be a natural person, accounts registered by 'robots' or other automated methods are not permitted;
  2. You only provide personal data that you are authorised to provide during the registration process;
  3. You indicate that you are authorised to register on behalf of your organisation or company;
  4. Your login details are strictly personal and may not be shared with other persons;
  5. You are at all times personally responsible for keeping your username and password secret, Keeping cannot be held liable for this;
  6. You are responsible for all activities and content that is placed under your account (also for the users that are created under an organisation that manages your account);
  7. You give Keeping permission to include a description and logo of your organisation in public communication, including for the purpose of promoting Keeping; and
  8. One person, organisation or company may have a maximum of one free account.

Quality assurance

  1. Keeping strives to, but does not guarantee, that:
    1. Keeping functions correctly;
    2. Keeping meets your requirements;
    3. Errors in Keeping are resolved quickly and adequately; and
    4. Keeping has the highest possible uptime.
  2. In no event shall Keeping be liable for failure to do so, unless specifically agreed otherwise;
  3. Keeping uses services from third parties to provide Keeping;
  4. You will not attempt to hack Keeping and/or set up websites that masquerade as part of Keeping;
  5. You will not use Keeping to post or send unsolicited content/email (SPAM);
  6. You will not post worms and/or viruses and/or other forms of destructive code on Keeping; and
  7. You will only act in accordance with our responsible disclosure policy if you intend to find a bug in Keeping in good faith.

Damage and liability

Keeping is not liable for (a) damage caused by the loss of your administration. You are responsible for maintaining a backup administration of your hours. It is recommended to regularly use the export function with which you export all time registration data. Keeping is not liable for (b) damage caused by an error or irregularity in our system if you could have prevented the damage by checking your input. Keeping is not liable for (c) indirect damage caused by the use of Keeping, such as lost profits, missed savings, consequential damage or other similar damage. Keeping is not liable for (d) damage caused by violating the terms of use.

If Keeping is liable for damages, the amount for which you can hold us liable is limited to the direct damage suffered and the costs that you owe us in that year for the use of Keeping.

Adjustments

Keeping reserves the right at any time, with or without notice:

  1. To implement changes in Keeping;
  2. To temporarily stop Keeping, for example in case of maintenance;
  3. To implement price changes for the use of Keeping.

Intellectual property

The entire intellectual property of Keeping is exclusively owned by Keeping. You will not reproduce, copy, duplicate, sell or resell any part of Keeping or Keeping as a whole without the express written permission of Keeping.

Applicable law and disputes

All legal relationships in which Keeping is a party are exclusively governed by Dutch law. Disputes between Keeping and you will be settled exclusively by the competent court in the district of Almelo.
